Website Design & Development Agreement — Paragon Marketing Ltd (trading as Accelerate CX)

This Website Design & Development Agreement ("Agreement") is entered into between Paragon Marketing Ltd (trading as Accelerate CX) ("Accelerate CX", "we", "our", "us") and the client ("Client", "you", "your").

This Agreement becomes effective once the Client has:

• →Submitted the online Website Brief;
• →Paid the initial project deposit; and
• →Accepted these terms.

This Agreement constitutes the entire agreement between the parties in respect of the website project and is consistent with the Terms and Conditions published at accelerate-cx.com/terms.

Accelerate CX will design, develop and prepare for launch a professional business website in accordance with the package selected by the Client (set out in Section 3) and the information supplied through the Website Brief.

The package selected by the Client at checkout determines the scope of work. Each package includes only the features, pages and functionality set out below, together with any written variations agreed by both parties. Requests outside the agreed scope may be quoted separately.

Package pricing and inclusions are as displayed on the Accelerate CX website at the time of purchase. Where the Client does not have assets (logo, photos, copy), Accelerate CX creates or sources them as described in Section 9.

Our projects follow a structured delivery process.

• →Step 1 – Website Brief: The Client completes our online Website Brief, which typically takes around five minutes. The Website Brief forms the basis of the project scope.
• →Step 2 – Deposit Authorisation: The Client authorises a secure 50% hold on their card via Stripe. No funds are taken at this stage. Accelerate CX begins the build once the hold is successfully authorised.
• →Step 3 – First Draft Accelerate CX designs and delivers the first draft within the package timeframe. Upon Client approval of the first draft, the 50% hold is captured and the deposit is collected.
• →Step 4 – Review & Revisions: The Client may request revisions within the agreed scope and the revision allowance for their package (Section 6).
• →Step 5 – Final Approval & Balance: When the Client is satisfied with the final design, the Client provides written approval and Accelerate CX issues an invoice for the remaining 50% balance, payable via a secure online payment link.
• →Step 6 – Launch & Handover: Upon receipt of final payment, Accelerate CX publishes the website and completes the Website Launch & Handover (Section 11).

• →A 50% deposit is required upfront to commence any build. This covers discovery, design, copywriting, asset creation, and initial development.
• →The remaining 50% balance is due only upon the Client's written approval of the final design. Accelerate CX will not invoice the balance until the Client confirms satisfaction.
• →Payments are accepted securely via card through our online payment provider. Prices are in South African Rand (ZAR).
• →Monthly retainer fees (where applicable) are billed separately and commence from the date of service activation.
• →Refunds of the deposit are governed by the Satisfaction Guarantee in Section 7 and by the Client's rights under the Consumer Protection Act 68 of 2008.

Accelerate CX is not VAT registered. Prices shown do not include VAT.

Revisions are included per package as follows:

• →Starter Site (1-page): 1 round of revisions
• →Pro Site (5-page): 2 rounds of revisions
• →Complete Site (up to 10-page): unlimited revisions before launch

A revision round is a consolidated set of changes submitted in a single communication and must relate to the agreed scope. Additional revision rounds, or requests that change the agreed scope, may be quoted and billed separately.

• →When the Client submits the Website Brief, a 50% hold is authorised on the Client's card via Stripe. No funds are taken at this stage.
• →Accelerate CX begins the build once the hold has been successfully authorised, and delivers a first draft within the package timeframe set out in Section 10.
• →If, after one reasonable round of revisions, the Client is not satisfied that the first draft reflects the agreed Website Brief, the Client may notify Accelerate CX in writing (email is sufficient) at any time before approving the draft. Accelerate CX will release the hold, and the Client's card will not be charged.
• →Once the Client provides written approval of the first draft, the 50% hold is captured and the deposit is collected. From this point, the deposit is treated as payment for work delivered and is non-refundable, save for the Client's rights under the Consumer Protection Act 68 of 2008.
• →The remaining 50% balance, invoiced on final approval and payable before launch (Section 5), is likewise non-refundable once paid and the website has been launched.
• →Accelerate CX may request reasonable feedback before releasing a hold, solely to improve our service. This is not a condition of the release.
• →Nothing in this section limits the Client's rights under the Consumer Protection Act 68 of 2008.

The Client agrees to:

• →Complete the Website Brief accurately and in full prior to build commencement;
• →Provide any assets (logos, photos, copy) within 3 business days of project kickoff, or confirm that Accelerate CX should create them;
• →Respond to design feedback requests within 5 business days;
• →Ensure all content supplied does not infringe the intellectual property rights of any third party; and
• →Provide accurate business information — Accelerate CX is not liable for errors in content the Client supplies.

Project delivery dates may be extended where delays are caused by the Client.

Where the Client does not have a logo, photos, testimonials, or written copy, Accelerate CX will create or source these assets on the Client's behalf as part of the package. This may include logo or wordmark creation, licensed stock photography from reputable libraries, professionally written website copy based on the brief, and illustrative testimonials written in a representative style (clearly not attributed to real individuals unless provided by the Client).

Estimated delivery timelines, commencing once the Website Brief is complete, the deposit is authorised, and all required content is received:

• →Starter Site: 5–7 business days
• →Pro Site: 10–14 business days
• →Complete Site: 14–21 business days

Delivery estimates are provided in good faith but may vary with project complexity and Client response times. Delays caused by late asset delivery or slow feedback may extend timelines.

Following receipt of final payment, Accelerate CX will publish the website, connect the agreed domain (where applicable), activate SSL, test forms and agreed integrations, verify tracking, check mobile responsiveness, complete final quality assurance, and send a handover confirmation to the Client.

• →The Client retains ownership of all content, logos, trademarks, photographs and other materials supplied by the Client.
• →Accelerate CX retains ownership of its proprietary templates, internal development frameworks, AI workflows, software configurations, design systems and internal automation processes. Nothing in this Agreement transfers ownership of Accelerate CX's proprietary systems.
• →Upon receipt of final payment in full, the Client owns 100% of the completed website — including all files, design assets, copy and code produced for the project — and Accelerate CX transfers all domain, hosting and platform credentials to the Client. Until final payment is received, any preview link is for review purposes only and remains the property of Accelerate CX.
• →Accelerate CX retains the right to display the completed website in its portfolio and marketing materials unless the Client requests otherwise in writing.

Our monthly retainer services (Basic Care, Growth, and Done-For-You) are month-to-month with no minimum contract period. Either party may cancel with 30 days written notice via email to hello@accelerate-cx.com. Fees are billed in advance on the same date each month, with no refunds for partial months following a cancellation notice. Accelerate CX may adjust retainer pricing with 30 days written notice, and the Client may cancel without penalty if they do not accept a price change.

The website may utilise third-party services including hosting platforms, payment gateways, mapping services, analytics, AI services and other software. Accelerate CX is not responsible for outages or failures caused by third-party providers beyond our reasonable control, and such services remain subject to their own terms.

Accelerate CX designs websites and automation systems optimised to convert visitors into leads. We do not guarantee specific lead volumes, enquiry rates, or revenue outcomes. Lead performance depends on the volume and quality of traffic, which is driven by advertising, organic search, social media and referrals. Accelerate CX does not manage advertising accounts or spend unless separately agreed in writing, and is not liable for losses arising from insufficient traffic or changes to advertising platforms.

Following Website Launch & Handover, support is provided in accordance with the Client's selected package or maintenance plan. Additional work requested after launch may be quoted separately.

As Accelerate CX processes personal information both on behalf of South African-based clients and as a UK-registered company, we comply with the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018, as well as the Protection of Personal Information Act 4 of 2013 (POPIA) where applicable to our clients' data.

• →Accelerate CX processes the personal information supplied by the Client (including information in the Website Brief) only to deliver the project and for related communications, and applies reasonable technical and organisational measures to safeguard it.
• →Where Accelerate CX processes personal information on the Client's behalf (for example, data collected through the Client's website), Accelerate CX acts as a processor/operator and processes it only on the Client's documented instructions.
• →On completion, or on the Client's reasonable request, Accelerate CX will return or securely delete such information except where retention is required by law.
• →The Client is responsible for their own website's compliance with applicable data protection law (including POPIA) once handed over.
• →Accelerate CX is registered with the UK Information Commissioner's Office (ICO).

Accelerate CX will exercise reasonable skill, care and diligence in delivering the project. To the fullest extent permitted by law:

• →Our total liability for any claim relating to a website project shall not exceed the total fees paid by the Client for that project;
• →For monthly retainer services, our total liability shall not exceed the fees paid in the 3 months preceding the claim;
• →We are not liable for indirect, incidental, consequential or punitive damages, including loss of profits, revenue or data; and
• →We are not responsible for downtime, data loss or security breaches caused by third-party providers, platform outages, or events beyond our reasonable control.

Neither party is liable for any delay or failure to perform caused by events beyond its reasonable control, including third-party outages, loss of connectivity, natural disasters, or acts of government. The affected party will notify the other and use reasonable efforts to resume performance as soon as practicable.

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement, including business strategies, pricing, customer data, and operational processes. This obligation survives termination of this Agreement.

Before the Client approves the first draft, cancellation is governed by Section 7 — the 50% hold is released and the Client's card is not charged. After the Client has approved the first draft and the deposit has been captured, or after the final balance has been paid and the website launched, fees paid are non-refundable, save for the Client's rights under the Consumer Protection Act 68 of 2008.

This Agreement is governed by the laws of England and Wales. Any dispute will first be addressed through good-faith negotiation. If unresolved within fifteen (15) business days, the parties may refer it to mediation before pursuing formal legal proceedings, which shall be subject to the exclusive jurisdiction of the courts of England and Wales. Nothing in this section prevents either party from seeking urgent interim relief from a court. Nothing in this Agreement affects any statutory rights the Client may have under the laws of their own country of residence, including South African consumer protection law, that cannot lawfully be excluded or limited by contract.

By submitting the Website Brief, paying the project deposit and proceeding with the project, the Client confirms they have read, understood and accepted this Agreement. Accelerate CX records the date, time and version of the Agreement accepted at the point of submission.
